Regarding video projects, ownership of the final produced video is transferred to the client upon full payment, subject to the terms outlined in the project agreement. However, Starlight Films retains the right to use portions of the produced video for promotional purposes, unless otherwise agreed upon in writing.
4. Client Responsibilities
Clients are responsible for providing accurate and complete information necessary for the successful completion of video projects. This includes providing clear project briefs, obtaining necessary permits and permissions for filming locations, and ensuring compliance with all applicable laws and regulations.
Clients are also responsible for reviewing and approving project milestones, such as scripts, storyboards, and rough cuts, within the agreed-upon timelines. Delays in providing feedback or approvals may result in project delays and additional costs.
5. Payment Terms
Payment terms are outlined in individual project agreements. Typically, a deposit is required to initiate a project, with subsequent payments due upon completion of specific milestones. Final payment is due upon delivery of the final produced video.
Starlight Films reserves the right to suspend or terminate services if payments are not received according to the agreed-upon schedule. Late payments may be subject to interest charges.
6. Limitation of Liability
Starlight Films is not liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of our website or video production services. This includes, but is not limited to, damages for loss of profits, data, or other intangible losses, even if Starlight Films has been advised of the possibility of such damages.
Our liability is limited to the amount paid by the client for the specific video production services in question. We are not responsible for any damages resulting from events beyond our control, such as natural disasters, equipment malfunctions, or third-party failures.
7. Cancellation Policy
If a client cancels a video project after it has been initiated, the deposit may be non-refundable, depending on the amount of work already completed. Cancellation fees are outlined in individual project agreements.
Starlight Films reserves the right to cancel a project if the client fails to meet their responsibilities, such as providing necessary information or approvals, or if the client engages in unprofessional or unethical behavior.
8. Dispute Resolution
Any disputes arising out of or relating to these Terms and Conditions or our video production services shall be resolved through good faith negotiations. If a resolution cannot be reached through negotiation, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
The arbitration shall take place in Los Angeles, California, and the arbitrator's decision shall be final and binding. Each party shall bear their own costs of arbitration, except that the arbitrator may award reasonable attorney's fees to the prevailing party.
9. Website Usage
You agree to use the Starlight Films website only for lawful purposes and in a manner that does not infringe the rights of others. You may not use our website to transmit any viruses, malware, or other harmful code, or to engage in any activity that could disrupt or damage our website or services.
